Welcome to M4E. These Terms and Conditions govern your use of our services and website. By accessing or using our services, you agree to be bound by these terms.
1. Services
M4E provides software development services including but not limited to:
- Custom mobile application development
- Web application development
- Meta apps and AR/VR solutions
- Shopify e-commerce development
- Maintenance and growth services
- Full-stack development solutions
2. Project Engagement
2.1 Proposal and Agreement
All projects begin with a detailed proposal outlining scope, timeline, deliverables, and pricing. Work commences only after mutual agreement and signing of a project contract.
2.2 Payment Terms
- Project payments are structured based on milestones or time & materials as specified in the contract
- Typical payment schedule: 30-40% advance, milestone-based payments, and final payment upon completion
- Invoices are payable within 7 days of issuance unless otherwise agreed
- Late payments may incur interest charges and delay project delivery
2.3 Project Timeline
Timelines are estimates based on project scope. Delays caused by late feedback, changing requirements, or client-side dependencies may extend the delivery date.
3. Intellectual Property
3.1 Client Ownership
Upon full payment, all custom code, designs, and deliverables created specifically for your project become your property.
3.2 M4E Ownership
M4E retains ownership of:
- Pre-existing code, frameworks, and tools
- Reusable components and libraries
- Development methodologies and processes
3.3 Third-Party Assets
Third-party libraries, APIs, and services are subject to their respective licenses. Clients are responsible for obtaining necessary licenses.
4. Client Responsibilities
Clients agree to:
- Provide timely feedback and approvals
- Supply necessary content, credentials, and access
- Ensure they have rights to all materials provided to M4E
- Maintain communication throughout the project
- Make timely payments as per the agreed schedule
5. Warranties and Limitations
5.1 Service Warranty
M4E warrants that services will be performed with reasonable care and skill. We typically provide a 30-90 day warranty period for bug fixes post-launch, as specified in the contract.
5.2 Limitation of Liability
M4E's liability is limited to the amount paid for the specific service. We are not liable for indirect, incidental, or consequential damages.
5.3 No Warranty for Third-Party Services
We do not warrant third-party services, APIs, or platforms integrated into your solution.
6. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the project. M4E implements reasonable security measures to protect client data.
7. Changes and Amendments
Changes to project scope require written approval and may affect timeline and pricing. Change requests will be documented and agreed upon before implementation.
8. Termination
8.1 Termination by Client
Clients may terminate services with written notice. Payment is due for all completed work plus any non-refundable expenses incurred.
8.2 Termination by M4E
M4E may terminate services if payment terms are not met or if the client breaches these terms.
9. Support and Maintenance
Post-launch support and maintenance are available through separate agreements. Emergency support may be provided on a time-and-materials basis.
10. Hosting and Third-Party Services
If M4E arranges hosting or third-party services, clients are responsible for ongoing fees. M4E is not liable for third-party service outages or issues.
11. Dispute Resolution
Any disputes will be resolved through good faith negotiation. If unresolved, disputes will be subject to arbitration under Indian law in the jurisdiction where M4E operates.
12. General Provisions
- Governing Law: These terms are governed by the laws of India
- Severability: If any provision is invalid, the remaining provisions remain in effect
- Entire Agreement: These terms, along with the project contract, constitute the entire agreement
- Amendments: M4E reserves the right to update these terms. Clients will be notified of material changes
